Wayy Companions Program Terms & ConditionsVersion 1.0 | Effective Date: Mar 10, 2026
These Terms govern your participation in the Wayy Companions Program (the “Program”). By joining, you confirm you have read, understood, and agreed to these Terms in full. You also acknowledge that your participation is voluntary, non‑exclusive, and does not create any employment or service‑provider relationship with Wayy LLC.
These Terms supplement and are subject to the Wayy Terms of Service (
wayy.ai/terms-of-service) and Wayy Privacy Policy (
wayy.ai/privacy-policy), both of which are incorporated herein by reference.

2. Legal Entity & ContactThe Companions Program is operated by Wayy LLC, a Delaware limited liability company. All legal rights and obligations under these Terms are with Wayy LLC.
3. Relationship to Wayy Terms of Service3.1 Incorporation. These Terms are an extension of the Wayy Terms of Service. In the event of any conflict between these Companions Program Terms and the Wayy Terms of Service, the Wayy Terms of Service shall prevail, except where these Terms expressly provide otherwise in relation to Program‑specific mechanics (points, payouts, referrals).
3.2 Continued Compliance. Companions must remain in compliance with the Wayy Terms of Service at all times during their Program participation. A breach of the Wayy Terms of Service — including violations of Usage Restrictions or User License Restrictions — constitutes a breach of these Terms.
3.3 No Competitive Use. Per the Wayy Terms of Service, Companions may not use Wayy Services if they are a competitor of Wayy, as determined by Wayy in its sole discretion.
4. Eligibility & Activation4.1 Joining Requirements. To participate and earn in the Program, you must:
- Have a registered Wayy account with verified email and connected LinkedIn profile.
- Have created at least one active outreach campaign.
- Have sent at least 5 confirmed connection requests within one campaign.
- Accept these Terms & Conditions in full.
4.2 One Account Per Person. Each individual may hold only one Program entry, tied to one email address and one LinkedIn profile. Creating or using multiple accounts to inflate points is strictly prohibited and will result in forfeiture of all associated points and payouts.
4.3 Minimum Age. Companions must be the legal age of majority in their jurisdiction and at least 18 years old. Wayy does not knowingly engage individuals under 18.
4.4 Accurate Information. All personal information you provide must be true, complete, and accurate. You must promptly update account and payment details when they change.
4.5 Independent Participant / No Employment. Companions participate in the Program as independent, self‑directed users and marketers of Wayy Services. Nothing in these Terms or in your participation shall be construed as creating an employment, franchise, agency, partnership, joint venture, or formal independent‑contractor engagement with Wayy LLC. You are not entitled to wages, overtime, employee benefits, or reimbursement of expenses, and you are free to promote or work with other products and services, including competitors, unless expressly prohibited under the Wayy Terms of Service.
4.6 No Authority to Bind. Companions have no authority to make representations, warranties, or commitments on behalf of Wayy LLC, nor to bind Wayy in any respect.
5. How Points Are Assigned5.1 Point System. Companions earn Points for completing eligible Program tasks, including (without limitation) inviting new users, using Wayy Services in specific ways, sharing use cases, and participating in community activities.
5.2 Dynamic Point Values. Each eligible task has an associated point value that may vary over time based on Wayy’s current priorities, experiments, or Program design decisions. Wayy may add, remove, or modify tasks and their point values at any time.
5.3 Live Points Table (Program Mechanics). The current list of eligible tasks, the rules for earning Points, and the corresponding point values are described in the live Companions Points Table available at
**https://wayy.ai/companions-points**. The Companions Points Table is incorporated into these Terms by reference solely for purposes of describing Program mechanics and does not constitute an amendment to these Terms when updated.
5.4 Point Verification. Points are only awarded when Wayy can reasonably verify that the underlying task was validly completed, which may include in‑product logs, referral tracking tools (such as FirstPromoter), submission of URLs or screenshots, and other verification methods described in the Companions Points Table or in the Program interface.
5.5 Submissions & License. Content, feedback, and ideas shared by Companions as part of Program tasks are treated as “Submissions” under the Wayy Terms of Service, and Companions grant Wayy the same license described there, while retaining ownership of their Submissions.
5.6 Point Lock & Disputes. Points for a Program Month are calculated and locked as of 23:59 on the last calendar day of that month. Missing or disputed Points must be raised in writing (via Wayy chat or email) within 7 calendar days of month‑end; late disputes may not be processed.
5.7 Adjustments & Integrity. Wayy may correct or adjust Points at any time to address errors, fraud, abuse, or changes in Program rules, while seeking to preserve the intended relative weighting between different categories of tasks (for example, activated referrals generally carry more weight than light‑engagement social actions).
6. Revenue Calculation & Pool Formation6.1 Net Monthly Revenue. “Net Monthly Revenue” means total subscription and usage fees collected by Wayy LLC during the Program Month, excluding refunds, chargebacks, and disputed transactions resolved in the user’s favor. Payments are processed via Stripe.

6.4 Transparency. Companions may query their real‑time point balance and estimated share at any time in Wayy chat.
7. Referral Tracking & Attribution7.1 Tracking Platform. All referral activity is tracked via FirstPromoter, which assigns each Companion a unique Referral Link capturing clicks, signups, and activation events via cookie and device‑based attribution.
7.2 Cookie Duration. Referral attribution is tracked for 90 days from initial click on a Companion’s Referral Link.
7.3 Multi‑Level Tracking. Tier 2 referral attribution is tracked automatically through FirstPromoter’s multi‑level tracking solely for the purpose of granting limited second‑tier rewards. Tier 2 referrals do not create any additional legal relationship between Wayy and downline users beyond what is set out in the Wayy Terms of Service.
7.4 In‑Product Task Tracking. Domain C task completions are logged within the Wayy platform with timestamps tied to the Companion’s account.
7.5 Social Content Tracking. For Domain B, Companions must submit the post URL, post ID, or verified screenshot in Wayy chat. Wayy may independently verify that the content is live and publicly accessible before awarding Points.
7.6 Cookies & Tracking. Wayy uses cookies and tracking technologies to record Program activity, consistent with the Wayy Privacy Policy. Companions consent to this tracking as a condition of participation.
7.7 Anti‑Fraud. Wayy employs device fingerprinting, cookie checks, IP analysis, and behavioral review to detect duplicate accounts, self‑referrals, and artificial point inflation. Accounts flagged for abuse will have all associated Points and payouts voided and may be permanently removed.
8. Payout Terms8.1 Payout Schedule. Payouts are processed within 14 calendar days after the close of each Program Month, subject to meeting the minimum threshold.
8.2 Minimum Threshold. The minimum payout per Program Month is $20 USD. Balances below this roll forward and accumulate until the threshold is met.
8.3 Payout Methods. Payouts are issued via PayPal, bank/wire transfer, or Stripe (where available). Companions are responsible for maintaining accurate payment details. Wayy is not liable for failed payments due to incorrect information.
8.4 Tax Responsibility. Companions are solely responsible for all taxes on earnings received through the Program. Wayy LLC may be required under U.S. law to collect certain tax forms (such as Form W‑9 for U.S. persons or Form W‑8BEN for non‑U.S. persons) and to issue information returns (such as Form 1099‑NEC) when thresholds are met. Failure to provide required documentation within 30 days of request may result in held payments.
8.5 Non‑Refundable. Consistent with Wayy’s Terms of Service, fees and payments processed are non‑refundable except where expressly required by law.
8.6 Currency. All payouts are denominated in USD. Currency conversion applies at the rate on the payout date.
8.7 Forfeiture. Points and payouts are forfeited if: (a) the account engaged in prohibited activities; (b) required tax or identity documentation is not provided within 30 days of request; or (c) the Companion exits before payout is processed, subject to Section 13.2.
9. Referral Eligibility Rules9.1 No Self‑Referrals. Companions may not refer themselves, household members, or entities they own or control.
9.2 New Users Only. Referral Points apply only to users with no prior Wayy account at signup.
9.3 Activation Standard. A referred user must: connect email and LinkedIn; generate at least one outreach playbook; and send at least 5 connection requests in one active campaign.
9.4 Retention Points. As long as a referred user remains active in Wayy in a given month, ongoing Domain A retention eligibility may apply in subsequent months per Wayy’s then‑current retention rules.
9.5 Inactive Users. If a referred user has no campaign activity for 60+ consecutive days, retention point eligibility for that user pauses until reactivation.
10. Prohibited ActivitiesThe following are strictly prohibited. Violation may result in immediate removal, full point and payout forfeiture, termination of Wayy account, and potential legal action:
- Creating multiple accounts or fake registrations to inflate referral counts.
- Incentivizing signups through unauthorized cash payments, rebates, or kickbacks not expressly permitted by Wayy.
- Sending unsolicited bulk emails, automated LinkedIn messages, or mass DMs in violation of CAN‑SPAM, TCPA, platform terms, or any applicable anti‑spam law.
- Using Wayy’s name, trademarks, or logo in paid advertising without prior written approval.
- Misrepresenting Wayy’s features, pricing, or results in any promotional content, or making unsubstantiated earnings claims.
- Reverse engineering, scraping, or automating fake task completions within Wayy.
- Registering domain names that incorporate or imitate Wayy’s trademarks.
- Using Program participation to develop or support any product or service competitive with Wayy.
- Disclosing confidential Program information (non‑public point values, internal pool mechanics) to non‑Companions.
11. Content & Brand Guidelines11.1 Disclosure Requirement. All public promotional content for Wayy must clearly and conspicuously disclose the Companion’s material connection to Wayy (for example, “#ad”, “#sponsored”, or “I earn a commission as a Wayy Companion”) in accordance with applicable advertising and endorsement laws and guidance (including the U.S. FTC Endorsement Guides and similar rules in other jurisdictions).
11.2 Content Assistance. Wayy may provide AI‑generated post drafts and comment suggestions. Use is permitted provided the Companion reviews, edits where needed, and publishes content in their own voice, and ensures that all statements are truthful, not misleading, and consistent with their actual experience.
11.3 Brand License. Companions receive a limited, non‑exclusive, non‑transferable, revocable license to use the Wayy name and logo solely for Program participation purposes. The Wayy name and logo are trademarks of Wayy LLC and may not be copied, imitated, or used in whole or in part without prior written permission. This license terminates immediately upon Program exit or account termination.
11.4 Feedback & Ideas. Any unsolicited suggestions, ideas, or feedback submitted to Wayy in connection with the Program are treated as gratuitous and without restriction. Wayy is free to use them without any obligation or additional compensation.
12. Data Privacy12.1 Privacy Policy. Wayy LLC’s processing of your personal data as a Companion is governed by the Wayy Privacy Policy at
wayy.ai/privacy-policy. By joining the Program, you confirm acceptance of the Privacy Policy.
12.2 Data Collected. In connection with Program participation, Wayy LLC may collect and process: name, email, LinkedIn profile data, payment and billing information, referral activity data, in‑product behavioral data, and device/IP information for anti‑fraud purposes.
12.3 US Processing. By using the Wayy Services, you consent to the collection, use, and processing of your information in the United States.
12.4 Legal Basis (GDPR). For Companions in the EEA, UK, or Switzerland, Wayy processes personal data on the basis of: (a) Performance of Contract — to administer Program participation and payouts; (b) Legitimate Interests — for fraud prevention and program integrity; and (c) Consent — for marketing communications.
12.5 International Transfers. Wayy uses the European Commission’s Standard Contractual Clauses to protect data transfers from the EEA/UK to the US.
12.6 Data Retention. Wayy retains Program‑related personal data for no longer than 36 months after account termination, unless a longer period is required by law.
12.7 Your Rights. Depending on your jurisdiction, you may have the right to access, rectify, erase, restrict, or port your data, and to object to processing. Contact
support@wayy.ai to exercise these rights.
12.8 CCPA. Wayy’s cooperative data model may constitute a “sale” of personal information under certain U.S. state statutes. Companions should consult legal counsel regarding their own disclosure obligations if they share user data with Wayy.
12.9 Third‑Party Processors. Program data is shared with FirstPromoter (referral tracking), Stripe (payments), and analytics providers under appropriate data processing agreements.
13. Pausing & Leaving the Program13.1 Voluntary Pause (no new actions). If you do not complete any new eligible Program actions in a given Program Month, you will earn zero new action‑based Points for that month. However, as long as you remain an Active Companion — meaning you have at least one active outreach campaign in Wayy that continues to run and generate activity (such as connection requests or leads) — you may continue to receive any applicable ongoing retention Points or rewards related to your previously referred users under Section 9.4. If, starting from the following Program Month, you are no longer an Active Companion (for example, you have no active campaigns and no meaningful product usage), the accrual of new retention Points and rewards for your previously referred users will pause and will not resume unless and until you become Active again, in accordance with Wayy’s then‑current Program rules.
13.2 Automatic Exit from the Program. You may stop participating in the Program at any time simply by ceasing all Program actions and turning off or deleting your active outreach campaigns in Wayy; no separate written notice is required. If you remain an Active Companion but do not complete any new eligible Program actions for two (2) consecutive Program Months, your participation in the Program may be automatically terminated, your status as a Companion removed, and any future accrual of Points (including retention Points) for previously referred users will stop, subject to any final payouts in accordance with Section 8. Any re‑entry to the Program after automatic termination will be subject to Wayy’s then‑current eligibility criteria and Program rules.
13.3 Wayy’s Right to Remove. Wayy LLC may suspend or permanently remove a Companion — with or without notice — for: (a) violation of these Terms or the Wayy Terms of Service; (b) fraudulent or abusive activity; (c) conduct damaging to Wayy’s reputation; or (d) legal or regulatory requirements. Fraud‑associated Points and payouts are permanently forfeited. Account termination may result in forfeiture and destruction of all associated account information, subject to applicable law and the Privacy Policy.
14. Program ModificationsWayy LLC reserves the right to modify these Terms, point values, payout mechanics, and Program structure at any time, with or without notice, consistent with the Wayy Terms of Service. Where practicable, Companions will be notified via email or dashboard at least 14 days before a material change takes effect. Continued participation after the effective date of a change constitutes acceptance of the updated Terms.
15. Warranty DisclaimerTHE COMPANIONS PROGRAM AND WAYY SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WAYY LLC DOES NOT WARRANT ANY PARTICULAR EARNINGS, POOL SIZE, OR PAYOUT AMOUNT IN ANY GIVEN PROGRAM MONTH. YOUR PARTICIPATION IN THE PROGRAM IS SOLELY AT YOUR OWN RISK.
16. IndemnificationYou shall defend, indemnify, and hold harmless Wayy LLC, its affiliates, and each of their respective employees, contractors, directors, suppliers, and representatives from all liabilities, claims, and expenses — including reasonable attorneys’ fees — that arise from or relate to your participation in the Companions Program, your use or misuse of the Wayy Services, or your violation of these Terms or any applicable law.
17. Limitation of LiabilityTO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WAYY LLC’S TOTAL LIABILITY TO ANY COMPANION IN CONNECTION WITH THE PROGRAM SHALL NOT EXCEED THE LESSER OF: (A) THE TOTAL PAYOUT EARNED BY THAT COMPANION IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) $500.00. WAYY LLC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF ANTICIPATED FUTURE EARNINGS FROM THE PROGRAM. THIS LIMITATION APPLIES WHETHER LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS.
18. Arbitration & Class Action WaiverALL DISPUTES between you and Wayy LLC arising from or related to the Companions Program — including disputes about Points, payouts, or Program termination — WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION in accordance with the Streamlined Arbitration Rules and Procedures of JAMS, Inc., then in effect. YOU AND WAYY EXPRESSLY WAIVE TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION OR CLASS‑WIDE ARBITRATION.
As an alternative, you may bring a claim in your local small claims court if it falls within that court’s jurisdiction. To the extent Wayy’s intellectual property rights are violated or threatened, Wayy may seek injunctive relief in any state or federal court in the State of Delaware.
Claims Limitation: Any claim or cause of action arising from or related to the Companions Program must be filed within one (1) year after the claim arose, or it is permanently barred.
19. Governing LawThese Terms are governed by and construed in accordance with the laws of the State of Delaware and the United States of America, without regard to conflict of law rules. This dispute resolution provision is governed by the Federal Arbitration Act.
20. General Provisions20.1 Force Majeure. Wayy LLC is not liable for any failure to perform Program obligations resulting from causes beyond its reasonable control, including mechanical, electronic, or communications failures.
20.2 Assignment. These Terms are personal to you and are not assignable or transferable without Wayy’s prior written consent. Wayy LLC may assign or transfer its rights and obligations without your consent.
20.3 No Waiver. Wayy’s failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that or any other provision in the future.
20.4 Severability. If any provision of these Terms is found unenforceable or invalid, that provision shall be limited to the minimum extent necessary so that these Terms otherwise remain in full force and effect.
20.5 Entire Agreement. These Terms, together with the Wayy Terms of Service and Privacy Policy, constitute the entire agreement between you and Wayy LLC with respect to the Companions Program, and supersede all prior communications and proposals.
20.6 Survival. Sections 5.5 (Submissions), 11.4 (Feedback), 12 (Data Privacy), 16 (Indemnification), 17 (Limitation of Liability), 18 (Arbitration), and 19 (Governing Law) survive termination of Program participation.
